KNOW ALL MEN BY THESE PRESENTS, that the undersigned Chief Executive Officer and Acting Chief Financial Officer and Treasurer and the undersigned Directors of Central Vermont Public Service Corporation, a Vermont Corporation, which corporation proposes to file with the Securities and Exchange Commission Annual Report on Form 10-K/A, Amendment No. 1 for the year ended December 31, 2011, under the Securities Exchange Act of 1934, as amended, does each for himself/herself and not for one another, hereby constitute and appoint Lawrence J. Reilly and Edmund F.
