Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On May 20, 2013, William E. Bauch, a member of the board of directors of Gateway Energy Corporation (the "Company"), notified the Company that he had decided to resign from the Company's board of directors. Mr. Bauch did not resign as a result of any disagreement with the Company on any matter relating to the Company's operations, policies or practices.

In accordance with the requirements of Item 5.02 of Form 8-K, the Company has provided Mr. Bauch with a copy of the disclosures contained in this Current Report on Form 8-K no later than the day of filing this Form 8-K with the Securities and Exchange Commission.
