Introductory Note

Meredith Corporation has filed with the Securities and Exchange Commission ("SEC") a Current Report on Form 8-K dated November 12, 2021 (the "Original Filing"). This Amendment No. 1 on Form 8-K/A is being filed primarily to correct an inadvertent formatting error in Exhibit 99 of the Original Filing that resulted in certain footnote references not being included in the Exhibit. This Form 8-K/A also amends the disclosures set forth in the Original Filing to reflect that the registration statement on Form 10 filed by NMG SpinCo has since been declared effective by the SEC. Beyond this amendment, this Form 8-K/A does not include any other modifications to the exhibits included as part of the Original Filing except for the correction of the inadvertent formatting error. All other information contained in the Original Filing, including any exhibit filed therewith, remains unchanged.
