Item 2.03

Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On September 16, 2011, Western Massachusetts Electric Company (“WMECO”) issued $100,000,000 aggregate principal amount of its Senior Notes, Series F, Due 2021 (“Series F Notes”), pursuant to an Underwriting Agreement, dated September 13, 2011, between Credit Suisse Securities (USA) LLC and Goldman, Sachs & Co., as representatives of the several underwriters named therein, and WMECO. The Series F Notes were issued under a Sixth Supplemental Indenture, dated as of September 15, 2011, between WMECO and The Bank of New York Mellon Trust Company, N.A., as Trustee, supplementing the Indenture between WMECO and The Bank of New York Mellon Trust Company, N.A., as successor Trustee, dated as of September 1, 2003, as previously supplemented.
