ITEM 5.02 Departure of Directors or Certain Officers, Election of Directors, Appointment of Certain officers, Compensatory Arrangements of Certain Officers.

On May 15, 2012, Roy Dale Landers was appointed as a Director of Commercial National Financial Corporation. Mr. Landers will serve on the Board of Directors and has been assigned to serve on the holding company's Business Opportunity Committee and the banking subsidiary's Asset Qualitiy Committee and Trust Committee. A copy of the May 15, 2012 press release announcing his appointment is attached as Exhibit 99.1

Also on May 15, 2012, Frank E. Jobe retired from his position as a member of the Commercial National Financial Corporation's Board of Directors.
