Item 5.02.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 15, 2007, the Board of Directors of The Middleton Doll Company (the “Company”) appointed Douglas M. Schosser and Jeffrey B. Rusinow as directors of the Company. Each appointment is effective February 15, 2007.

Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On February 15, 2007, the Board of Directors of the Company approved a resolution restating in its entirety Section 3.1 of Article III of the Company’s By-laws effective February 15, 2007. The restated Section 3.1 of Article III of the Company’s By-laws increases the number of directors of the Company from four to six. The text of the restated Section 3.1 of Article III of the Company’s By-laws is attached to this Current Report on Form 8-K as Exhibit 3.1 and is incorporated into this Current Report on Form 8-K by reference.
