Pursuant to staff administrative positions established in various no-action letters, see e.g. Corporate Asset Backed Corporation (available August 9, 1995), the Registrant is not required to respond to various items of Form 10-K. Such items are designated herein as “Not applicable.” Distribution reports detailing receipts and distributions by each trust are filed shortly after each distribution date on Form 8-K in lieu of reports on Form 10-Q.

EXPLANATORY NOTE - AMENDMENT

The sole purpose of this Amendment to the Registrant’s Annual Report on Form 10-K for the year ended December 31, 2012 (the “10-K”), is to furnish a revised Rule 13a-14(d) Certification that is Exhibit 31.1 to the 10-K. The attached Exhibit 31.1 replaces the Exhibit 31.1 to the Form 10-K in its entirety.

No other changes have been made to the 10-K and this Amendment has not been updated to reflect events occurring subsequent to the filing of the 10-K.
