The following constitutes Amendment No. 9 to the Schedule 13D filed by the undersigned (“Amendment No. 9”). This Amendment No. 9 amends the Schedule 13D as specifically set forth herein.

Item 4.

Purpose of Transaction.

Item 4 is hereby amended to add the following:

As previously disclosed, on May 6, 2019, the Issuer entered into an Agreement and Plan of Merger (the “Merger Agreement”) with EMD Group Holding II, Inc. (“Parent”) and EMD Performance Materials Semiconductor Services Corp., a wholly owned subsidiary of Parent (“Merger Sub”), providing for the merger of Merger Sub with and into the Issuer (the “Merger”), with the Issuer surviving the Merger as a wholly owned subsidiary of Parent. On September 20, 2019, pursuant to the terms and conditions of the Merger Agreement, Merger Sub was merged with and into the Issuer, with the Issuer surviving as a wholly owned subsidiary of Parent. At the effective time of the Merger (the “Effective Time”), each Share of the Issuer that was outstanding immediately prior to the Effective Time (excluding any Shares owned by the Issuer, Parent or Merger Sub or any direct or indirect wholly owned subsidiary of the Issuer, Parent or Merger Sub (which were canceled without any consideration paid therefor)) was canceled and automatically converted into the right to receive $1.20 in cash, without interest thereon. Accordingly, the Reporting Persons no longer beneficially own any securities of the Issuer.

Item 5.

Interest in Securities of the Issuer.

Item 5 is hereby amended and restated to read as follows:

The Reporting Persons no longer beneficially own any securities of the Issuer. There were no transactions in the securities of the Issuer by the Reporting Persons during the past 60 days except as set forth in Item 4.

At the Effective Time, the Reporting Persons ceased to be beneficial owners of more than 5% of the Shares.
