EXPLANATORY NOTE

On February 28, 2023, Putnam Managed Municipal Income Trust (the “Fund”) filed a Current Report on Form 8-K (the “Original 8-K”) to disclose, among other things, changes approved by the Board of Trustees of the Fund that were incorporated into the amended and restated bylaws of the Fund. This Amendment No. 1 to the Original 8-K is being filed solely to include a hyperlink for Exhibit 5.03 to the Original 8-K. No other changes are being made to the Original 8-K.
