Item 1. Security and Issuer.

The undersigned hereby supplements and amends the Schedule 13D, dated January 9, 1998 (the "Statement"), filed in connection with the Common Stock, par value $.01 per share ("Common Stock"), of The Aristotle Corporation, a Delaware corporation (the "Company"), as follows (reference is made to the Statement for previously reported facts):

Item 5. Interest in Securities of the Issuer.

Item 5 of the Statement is hereby amended to add the following:

"In accordance with Section 6.08 of the Agreement and Plan of Merger among the Company, Geneve, Nasco Holdings, Inc. and Nasco International, Inc. dated as of November 27, 2001, Geneve acquired from the Company 20,375 shares of Common Stock at $7.03 per share on December 20, 2001."
