Item 2.01. Completion of Acquisition or Disposition of Assets.

Item 8.01 Other Events.

On June 30, 2022, American Church Mortgage Company (the “Company”) completed the previously announced sale of substantially all of the its assets to OSK XII, LLC. In connection with the transaction, the Company’s Series B, C, D and E secured investor certificates were paid in full. The Company intends to continue the wind down of its business with the intent of liquidating the Company and using remaining proceeds to completely redeem outstanding common stock.
