ATTACHMENT A

As of December 31, 2011, Merlin Nexus III, L.P. was no longer a beneficial owner of shares of Common Stock of Icagen, Inc. (“Common Stock”). As of December 31, 2011, Nexus Gemini, L.P. was no longer a beneficial owner of shares of Common Stock. Merlin BioMed Private Equity Advisors, LLC (“Merlin”) is the investment manager for Merlin Nexus III, L.P. and Nexus Gemini, L.P. and is no longer a beneficial owner of shares of Common Stock. Dominique Sémon is the Managing Member of Merlin. Merlin and Dominique Sémon are shown as no longer having voting power and dispositive power of shares of Common Stock.

AGREEMENT OF JOINT FILING

In accordance with Rule 13d-1(k) under the Securities Exchange Act of 1934, as amended, the undersigned hereby agree to the joint filing with all other persons signatory below of a statement on Schedule 13G or any amendments thereto, with respect to the Common Stock of Icagen, Inc. and that this Agreement be included as an attachment to such filing.
