Item 8.01. Other Events.

On September 21, 2009, Education Management LLC (the “Company”) announced that it commenced a cash tender offer (the “Tender Offer”) for an aggregate principal amount of the 10 ¹/4% Senior Subordinated Notes due 2016 and 8 ³/4% Senior Notes due 2014 co-issued by the Company and Education Management Finance Corp. (collectively, the “Notes”) such that the maximum aggregate consideration for Notes purchased in the Tender Offer, excluding accrued and unpaid interest, will be $323.9 million. A copy of the Company’s press release announcing the Tender Offer is filed as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.
