Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing

On June 8, 2010, The Nasdaq Stock Market (“Nasdaq”) announced through a press release that it will delist the common and preferred stock of Midwest Banc Holdings, Inc. (the “Company”) effective 10 days following the filing of Form 25 with the Securities and Exchange Commission.

A copy of the press release is attached hereto as Exhibit 99.1.

JoAnn Sannasardo Lilek resigned as Executive Vice President and Chief Financial Officer of the Company on June 4, 2010.
