Item 2.01. Completion of Acquisition or Disposition of Assets.

On January 3, 2006, Captec Franchise Capital Partners L.P. III (the “Partnership”) and Bong Jae Kim (“Kim”) consummated a transaction pursuant to which the Partnership sold to Kim the Partnership’s property located in Ewing Township, New Jersey and the related real property lease, as amended, between the Partnership and Golden Restaurant Operations, Inc. for a purchase price of $1,650,000.

There is no material relationship between the Partnership or its affiliates and Kim, other than in respect of this transaction.
