On June 27, 2006, Universal Compression Holdings, Inc. issued a press release announcing the filing of a registration statement on Form S-1 with the Securities and Exchange Commission relating to a proposed initial public offering of 5.5 million common units, representing limited partner interests in Universal Compression Partners, L.P., plus an option for the underwriters to purchase up to an additional 825,000 common units. A copy of the press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
