Item 8.01.		Other Events.

On October 24, 2008, Foundry Networks, Inc. (“Foundry” or the “Company”) issued a press release announcing that its special meeting of stockholders scheduled to be held on Friday, October 24, 2008 has been adjourned until Wednesday, October 29, 2008 at 4:00 p.m. PDT. A copy of the press release announcing the adjournment is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
