Amended Indenture Trustee's Report

PART I – DISTRIBUTION INFORMATION

Item 1. Distribution and Pool Performance Information.

The report regarding the September 17, 2007 interest payment to the holders of the notes issued by Principal Life Income Fundings Trust 2007-23 has been amended to (1) include the payment of Indenture Trustee compensation made during the distribution period and (2) correct the date of the Pricing Supplement and the date on which the Pricing Supplement was filed and (3) correct the amount of interest paid to the holders of the notes. The interest paid to the holders of the notes was calculated incorrectly due to an understatement of the Principal Amount in the calculation, resulting in an underpayment to the holders of the notes. The underpayment amount and accruing interest will be paid to the holders of the notes with the March 15, 2008 interest payment. The revised report is attached as an Exhibit to this Form 10-D/A. Please see Item 9(b), Exhibit 99.1 for the related information.

Item 2. Legal Proceedings.

Although not necessarily material to the holders of the notes, for legal proceedings against Principal Life Insurance Company (“Principal Life”) and Principal Financial Group, Inc. (“PFG”), see Item 6.

Item 3. Sales of Securities and Use of Proceeds.

On March 21, 2007, the Trust issued an undivided beneficial interest in the assets of the Trust (the “Trust Beneficial Interest”) in a private placement pursuant to Section 4(2) of the Securities Act of 1933, to GSS Holdings II, Inc. (the “Trust Beneficial Owner”) in exchange for the payment of $15. In accordance with the terms of the pricing supplement filed by Principal Life, dated as of March 12, 2007, the Trust used the net proceeds from the Trust’s issuance of the notes to the investors in the notes and the Trust Beneficial Interest to purchase a funding agreement issued to, and deposited by, the Trust on March 21, 2007.

Item 6. Significant Obligors of Pool Assets.

The Trust’s assets consist of a funding agreement issued by Principal Life, as an obligor, and a guarantee issued by PFG, which fully and unconditionally guarantees the payment obligations of Principal Life under the funding agreement. PFG is subject to the informational requirements of the Securities Exchange Act of 1934, and in accordance with those requirements files periodic and current reports and other information (including financial information) with the Securities and Exchange Commission (“SEC”).
