Item 5.02.		Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 31, 2007 Clinton M. Day resigned from his position as a director of Integrity Bancshares, Inc. Mr. Day’s resignation was for personal reasons. The company appreciates Mr. Day’s valued contribution during his term as a director and wishes him well in his future endeavors.
