Item 5.02.		Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On February 1, 2008 Joseph J. Ernest resigned from his position as director of Integrity Bancshares, Inc. for personal reasons. The company appreciates Mr. Ernest’s valued contribution during his term as a director and wishes him well in his future endeavors.
