Item 5. Other Events.

On January 15, 2004, Western Ohio Financial Corporation issued a news release announcing that a dividend had been declared and announcing earnings for the period ended December 31, 2003. The release is attached as Exhibit 99.1 to this report and is incorporated into this Item 5 by reference. On January 16, 2004, Western Ohio Financial Corporation issued a corrective news release stating that “A quarterly dividend of 25 cents per share will be paid on February 27, 2004 to shareholders at record on February 13, 2004.” The corrective release is attached as Exhibit 99.2 to this report and is incorporated into this Item 5 by reference.
