Item 5.02 Resignation of Chairman of the Board

Euro Group of Companies, Inc., a Delaware Corporation formerly known as ICT Technologies, Inc., today announced the resignation of Vasilios Koutsobinas as Chairman of the Board of Directors of the Company effective immediately. Mr. Koutsobinas, who joined the Company as Chief Executive Officer and Chairman in 2002, has regretfully tendered his resignation as a result of ongoing health concerns. Mr. Koutsobinas will continue to serve as an advisor to the Company, but will not be involved in the day-to-day operations of the Company or its Board of Directors.
