Other Events.

On April 28, 2008, TransCommunity Financial Corporation (“TFC”) issued a press release announcing that TFC’s shareholders approved the previously announced Agreement and Plan of Merger dated as of September 5, 2007, by and between TFC and Community Bankers Acquisition Corp. (“CBAC”) at TFC’s special meeting of shareholders held on April 28, 2008. The press release also announced the declaration of a $0.25 per share dividend on TFC’s common stock in the event that the proposed merger with CBAC is consummated. The press release is attached as Exhibit 99.1 to this report.
