The following constitutes Amendment No. 2 to the Schedule 13D filed by the undersigned (“Amendment No. 2”). This Amendment No. 2 amends the Schedule 13D as specifically set forth herein.

Item 3.

Source and Amount of Funds or Other Consideration.

Item 3 is hereby amended and restated to read as follows:

As of the date hereof, the Reporting Persons no longer beneficially own any securities of the Issuer.

Item 5.

Interest in Securities of the Issuer.

Item 5 is hereby amended and restated to read as follows:

On August 6, 2015, pursuant to the terms of an Agreement and Plan of Merger (the “Agreement”), dated as of April 6, 2015, by and among Ithaca Holdco 2 LLC, a Delaware limited liability company (f/k/a Italics Inc., “Newco”), Ithaca Merger Sub LLC, a Delaware limited liability company (f/k/a Italics Merger Sub Inc.) and wholly-owned subsidiary of Newco (“Merger Sub”) and the Issuer, Merger Sub was merged with and into the Issuer (the “Merger”), with the Issuer surviving the Merger as a wholly-owned subsidiary of Newco. As of the effective time of the Merger (the “Effective Time”), the Issuer became wholly-owned by Newco. Pursuant to the terms of the Agreement, at the Effective Time, shareholders of the Issuer received $48.75 in cash for each share of Common Stock owned. Accordingly, the Reporting Persons no longer beneficially own any securities of the Issuer.
