Item 1.

Security and Issuer.

The title of the class of securities of U.S. MedSys Corp. (the ?Issuer?) is common stock, no par value. The address of the principal executive office of the Issuer is 411 Rt. 17 South, Hasbrouck Heights, NJ 07604.

Item 2.

Identity and Background.

Rangeley Corporation (?Rangeley?) is a corporation incorporated under the laws of the British Virgin Islands. Rangeley?s business address is 1401 17th Street, Suite 1150, Denver, CO 80202 and its principal business is investments. During the past 5 years, such entity has not been (i) convicted in a criminal proceeding (excluding traffic violations and similar misdemeanors), (ii) a party to a civil proceeding of a judicial or administrative body of competent jurisdiction that resulted in a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws, or (iii) a party to a civil proceeding of a judicial or administrative body of competent jurisdiction that resulted in a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.

Source and Amount of Funds or Other Consideration.

Item 4.

Purpose of Transaction

Rangeley had acquired 15,000,000 shares of the Issuer?s common stock on November 12, 2002. Rangeley subsequently disposed of all of its 15,000,000 shares common stock in various transactions as reported by Rangeley on Forms 4 and 5. The final disposition occurred on May 6, 2005 with the sale by Rangeley Corporation of 6,881,039 shares of the Issuer?s common stock to Montague Investments, Inc. for $800,000. Contemporaneously with the sale to Montague Investments, Inc., Peter G. Futro resigned as an officer and director of the Issuer, George Anagnost resigned as an officer and director of the Issuer, Kenton Sieckman resigned as a director of the Issuer, Jacob Futro resigned as an officer of the Issuer, Anthony Rubino was appointed as a director of the Issuer and Orest Boyko was appointed as a director of the Issuer.
