Explanation of Responses:

(1) Grant to Reporting Person of a restricted stock award under the Issuer's 2000 Equity Incentive Plan. The restricted stock is subject to a reacquisition right of the Issuer upon Reporting Person's termination of employment until February 19, 2009, at which time the Issuer's reacquisition right will expire as to all the restricted stock. The expiration of the Issuer's reacquisition right will accelerate in the event that certain performance milestones are met.
(2) Includes 26,400 shares held by Paul A. Berberian and Renee L. Berberian, Joint Tenants with Rights of Survivorship.
