GRUMA INCREASES ITS OWNERSHIP IN GIMSA

San Pedro Garza Garcia, N.L., Mexico; July 24, 2015. - GRUMA, S.A.B. de C.V. (''GRUMA'') (NYSE: GMK, BMV: GRUMAB) today announced that it acquired 18'587,423 (eighteen million five hundred and eighty seven thousand four hundred and twenty three) series B shares of Grupo Industrial Maseca, S.A.B. de C.V. (''GIMSA''), at a price of Ps.$22.00 per share. The purpose of the purchase of such shares is to increase its holdings in this subsidiary in order to enhance value creation for its shareholders, without having knowledge as of this date of any undisclosed material event.
