Item 8.01. Other Events.

On October 19, 2009, TBS International Limited issued a press release announcing that the company's Board of Directors has unanimously approved a transaction that will change the place of incorporation of the company whose shares TBS shareholders own to Ireland from Bermuda. The press release is furnished as Exhibit 99.1 hereto.
