(a)	Amount beneficially owned: Reporting Person holds 302 shares of Issuer’s Series G convertible preferred stock (the “Preferred Stock”). In addition, Reporting Person holds convertible promissory notes in the aggregate principal amount of $107,500, convertible into common stock (“Notes”). Neither the Preferred Stock nor the Notes may be converted into common stock such that the Reporting Person would beneficially own more than 9.99% of the Issuer’s common stock at any one time. Report Person is the beneficial owner of 5,100,000 shares of Issuer’s common stock. Reporting Person disclaims beneficial ownership of the Issuer’s securities held by any other person or entity.
