Item 5.02. Departure of directors or certain officers; election of directors; appointment of certain officers; compensatory arrangements of certain officers

On October 15, 2025, Ronald LoRicco, Sr. remitted his resignation as the Acting Interim Chief Financial Officer notifying the Board and Management of his departure from the role. Mr. LoRicco remains the Acting Interim Chief Executive Officer and the Chairman of the Board of Directors.
