This Statement relates to Common Shares without par value of Immune Network Ltd. (the "Issuer"). The principal executive offices of the Issuer are located at 3650 Wesbrook Mall, Vancouver, British Columbia, Canada V6S 2L2

Identity and Background

This statement is being filed by:

(a) Hugh Wynne-Edwards

(b) Address: 2030 27th Street, West Vancouver, British Columbia, Canada V7V 4L4.

(d) During the last five years, Mr. Wynne-Edwards has not been convicted in a criminal proceeding (excluding traffic violations or similar misdemeanors).

(e) During the last five years, Mr. Wynne-Edwards has not been and is not now subject to a judgment, decree or final order enjoining future violations of, or prohibiting or mandating activities subject to, federal or state securities laws or finding any violation with respect to such laws.

(f) Mr. Wynne-Edwards is a citizen of Canada.

(g) Mr. Wynne-Edwards is an investor and the controlling shareholder of Terracy Inc.

(h) Terracy Inc. is a Canadian corporation incorporated under the Canada Business Corporations Act and is wholly controlled by Mr. Wynne-Edwards.

Source and Amount of Funds or Other Considerations

Of the 69,874,810 Common Shares of the Issuer acquired by Mr. Wynne-Edwards in the transaction giving rise to the obligation to file this report, 230,010 Common Shares of the Issuer are owned directly by Mr. Wynne-Edwards, and 69,644,800 Common Shares of the Issuer are owned indirectly by Mr. Wynne-Edwards through Terracy Inc., a company wholly controlled by Mr. Wynne-Edwards.

Of the 69,874,810 Common Shares of the Issuer directly and indirectly acquired by Mr. Wynne-Edwards, 69,004,800 Common Shares were issued to him without the payment of any additional consideration upon conversion of 4,013,333 class A convertible preferred shares in the Issuer on February 11, 2002. Mr. Wynne-Edwards had directly and indirectly (though Terracy Inc.) acquired the class A convertible preferred shares and 4,013,333 Common Shares of the Issuer on August 18, 2000, in consideration for his beneficial interest in B.C. Research Inc. ("BCR"), in connection with the Issuer's successful exempt take-over bid for approximately 66% of the issued and outstanding common shares of BCR.

A private company located in Vancouver, British Columbia, BCR is a technology contract services company and technology incubator. BCR provides laboratory analysis and testing, field work, consulting services and applied research and development under contract in the following market areas: chemical process and analysis, environment health and safety and natural health product services. BCR also derives revenue from rental property.

Purpose of Transaction

On August 18, 2000, Mr. Wynne-Edwards acquired 4,013,333 Common Shares and 4,013,333 class A convertible preferred shares in the Issuer both directly and indirectly through Terracy Inc. Following the conversion of the class A convertible preferred shares in the Issuer on February 11, 2002, which transaction gave rise to the obligation to file this report, Mr. Wynne-Edwards owned a total of 69,874,810 Common Shares in the Issuer, of which 230,010 Common Shares were owned directly by Mr. Wynne-Edwards and 69,644,800 Common Shares were owned indirectly by Mr. Wynne-Edwards through Terracy Inc.

Subject to market and business conditions and other factors, Mr. Wynne-Edwards, either directly himself or through Terracy Inc., may purchase additional shares, maintain his present ownership of shares or sell some or all of the shares. At present, Mr. Wynne-Edwards contemplates that such additional shares, if any, would also be purchased for investment purposes only.

Interest in Securities of the Issuer

(a) The aggregate number and percentage of Issuer Common Shares beneficially owned by Hugh Wynne-Edwards are 69,324,810 and 36%, respectively.

(b) See Items 7 through 10 on the Cover Pages of this Schedule 13D.

(c) The following transactions were effected since 60 days prior to the date of the event that requires filing of this statement: the sale of 550,000 Common Shares by Hugh Wynne-Edwards to Sprout Investments LLC, 464 NE 8th St., Boca Raton, FL, USA 33432 on February 19, 2002.
