This Amendment No. 6 reports that the Reporting Person ceased to be the beneficial owner of more than five percent (5%) of the Shares of the Issuer on February 19,2014 due to the Issuer's acquisition by Sonus Networks Inc. on that date.

Pursuant to the terms of the Agreement and Plan of Merger, dated as of December 12, 2013, among Performance Technologies, Incorporated, Sonus Networks, Inc., and Purple Acquisition Subsidiary, Inc. (the "Merger Agreement"), at the effective time of the merger on February 19, 2014, each share of Performance Technologies, Incorporated common stock outstanding immediately prior to the effective time of the merger was converted into the right to receive $3.75 in cash.
