Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers

On September 20, 2004, Todd R. Taylor, Chief Financial Officer and Vice President of Finance and Administration of Primal Solutions, Inc. (the “Company”), announced his resignation. Mr. Taylor’s resignation will become effective on October 15, 2004. The Company has initiated the process to identify a successor to Mr. Taylor.
