Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

Resignation of William Nydam as Director.

On January 31, 2007, William Nydam voluntarily resigned from iVOW, Inc.’s (the “Company”) Board of Directors, including each of the Board committees on which he served. Mr. Nydam was a member of the Audit Committee. Mr. Nydam’s resignation did not result from any disagreement with the Company.
