Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 21, 2008, Channell Commercial Corporation (the “Company”) elected Richard W. Williams to serve as a director. Mr. Williams will serve on the Audit Committee of the board of directors.

Mr. Williams is currently chief executive officer of Williams & Associates, an accounting and finance consulting firm. Earlier in his career Mr. Williams served as senior vice president of finance for Herbalife International, Inc. and senior vice president and controller of The Irvine Company. Mr. Williams will receive compensation for his services as a director and member of the Audit Committee in accordance with the Company’s standard compensation arrangements for non-management directors.
