Item 8.01 Other Events.

On February 12, 2010, the registrant’s Board of Managers declared a cash distribution of $0.05 per Class A capital unit, or a total distribution of $2,531,400, payable to its members of record as of December 31, 2009. The number of the registrant’s Class A capital units issued and outstanding is 50,628,000. The distribution is expected to be paid and issued on or around February 19, 2010.
