Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On Thursday, February 17, 2011, Dr. Hugh F. Smisson, III submitted his resignation as a director of Atlantic Southern Financial Group, Inc. (the “Company”) and its subsidiary, Atlantic Southern Bank (the “Bank”), effective immediately. On Friday, February 18, 2011, Mr. Donald L. Moore submitted his resignation as a director of the Company and the Board effective immediately. Dr. Smisson and Mr. Moore have advised us that their resignations were not due to any disagreement with the Company.
