Item 1.01 Entry into a Material Definitive Agreement

On August 15, 2014 Alion Science and Technology Corporation (the “Company” or “Alion”) entered into a Second Amendment to Second Amended and Restated Credit Agreement (the “Amendment”) to extend the Maturity Date of the Second Amended and Restated Credit Agreement dated as of May 2, 2014 by and among Alion, Wells Fargo Bank National Association, as administrative agent, and the lenders party thereto (the “Credit Agreement”). The Amendment extends the Maturity Date of the Credit Agreement to the earlier of (a) August 20, 2014, (b) the date on which Alion’s secured notes due November 2014 become due and payable in full whether by acceleration or otherwise, and (c) the date on which Alion’s unsecured notes due February 2015 become due and payable in full whether by acceleration or otherwise.

A copy of the Amendment is attached to this current report on Form 8-K as Exhibit 10.49 and it is incorporated by reference as though it were fully set forth herein. The foregoing summary description of the Amendment and the transactions contemplated thereby is not intended to be complete, and it is qualified in its entirety by the complete text of the Amendment.
