As set forth below, as a result of the transactions described herein, on November 30, 2020, each of FSH and FSAM ceased to be a beneficial owner of shares of the Issuer’s common stock (“Shares”). The filing of this Amendment represents the final amendment and exit filing for each of FSH and FSAM.

Item 2. Identity and Background.

Item 2 is amended by adding the following:

The name, citizenship, present principal occupation or employment and business address of each director and executive officer of FSAM are set forth on Schedule A, which replaces the corresponding schedule attached to that certain amendment to this Schedule 13D filed on December 20, 2019.

Item 3. Source and Amount of Funds or Other Consideration

Item 3 is amended by adding the following:

On November 30, 2020, FSH, a wholly owned subsidiary of FSAM, made a pro rata, in-kind distribution of 1,353,938 Shares to FSAM for no consideration. Subsequently, on November 30, 2020, as part of the plan of dissolution and liquidation of FSAM, FSAM made a pro rata, in-kind distribution of such 1,353,938 Shares to the holders of its Class A common stock for no consideration. Leonard M. Tannenbaum, the holder of 70.6% of FSAM’s outstanding Class A common stock, received 955,565 Shares and the Trust (as defined below), as holder of 7.4% of FSAM’s outstanding Class A common stock, received 99,973 Shares.

Items 5(a)-(c) are hereby amended and restated in their entirety as follows:

(a)-(b) The information set forth in rows 7 through 13 of the cover page to this Schedule 13D is incorporated by reference. The percentage set forth in row 13 is based on 29,466,768 outstanding shares as of November 17, 2020, as reported in the Issuer’s Form 10-K filed on November 19, 2019. For purposes of Section 13 of the Securities Exchange Act of 1934, as amended, Mr. Tannenbaum and Oaktree have shared voting and dispositive power over the following Shares: (i) 6,011,990 shares held by Mr. Tannenbaum directly, (ii) 95,634 Shares held by the Leonard M. Tannenbaum Foundation, for which Mr. Tannenbaum serves as the President; and (iii) 239,340 Shares held directly by the Leonard M. Tannenbaum 2012 Trust (the “Trust”) for the benefit of certain members of Mr. Tannenbaum’s family for which Mr. Bernard D. Berman is a trustee.
