These are the Issuer’s shares of Class B common stock, which will automatically convert into the Issuer’s shares of Class A common stock at the time of the Issuer’s initial business combination and as more fully described under the heading “Description of Securities-Alignment Shares” in the Issuer’s registration statement on Form S-1 (File No. 249667). Based on 52,500,000 Class A common stock, $0.0001 par value, and 2,625,000 Class B common stock, $0.0001 par value, issued and outstanding as of September 30, 2020 as reported in the Issuer’s Quarterly Report on Form 10-Q filed with the Securities and Exchange Commission on December 11, 2020 and assuming the conversion of all the shares of Class B common stock held by HAAC Sponsor LLC.

Ownership As of December 31, 2020, the Reporting Person may be deemed to beneficially own 2,311,624 shares of the Issuer’s Class B Common Stock, representing 4.19% of the total Class A and Class B Common Stock issued and outstanding. The Class B Common Stock are automatically convertible into the Issuer’s Class A Common Stock at the time of the Issuer’s initial business combination on a one-for-one basis, subject to adjustment, as more fully described under the heading “Description of Securities—Alignment Shares” in the Issuer’s registration statement on Form S-1 (File No. 333-249667). The securities reported herein are held by HAAC Sponsor LLC.
