Item 8.01. Other Events

As of September 16, 2022, holders of an aggregate of 33,118,864 out of the 34,500,000 Class A ordinary shares of Silver Crest Acquisition Corporation, a Cayman Islands exempted company (“Silver Crest”) that are subject to redemption have redeemed their shares in connection with the proposed business combination between Silver Crest and TH International Limited, a Cayman Islands exempted company (“THIL”), pursuant to that certain Agreement and Plan of Merger (the “Merger Agreement”), dated August 13, 2021, by and among Silver Crest, THIL, and Miami Swan Ltd, a Cayman Islands exempted company and wholly owned subsidiary of THIL (“Merger Sub”), as amended on January 30, 2022, March 9, 2022, June 27, 2022 and August 30, 2022.

The transactions (the “Transactions”) contemplated by the Merger Agreement are expected to be consummated on or around September 28, 2022. Following the consummation of the Transactions, the ordinary shares and warrants of THIL are expected to begin trading on the Nasdaq Capital Market under the symbols “THCH” and “THCHW,” respectively, on or around September 29, 2022.
