Item 8.01. Other Events.

On October 21, 2022, Duke Energy Florida, LLC (the “Company”) entered into an $800,000,000 Credit Agreement, dated as of October 21, 2022 (the “Credit Agreement”), among the Company, as Borrower, the lenders listed therein, Truist Bank, as Administrative Agent, Truist Securities, Inc., Mizuho Bank Ltd., and TD Bank, N.A., as Joint Lead Arrangers, and Truist Securities, Inc., as Sole Bookrunner. The Credit Agreement matures on April 24, 2024. The proceeds of loans made under the Credit Agreement will be used by the Company for general company purposes.

The disclosure in this Item 1.01 is qualified in its entirety by the provisions of the Credit Agreement, which is attached hereto as Exhibit 10.1 and is incorporated herein by reference.
