Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On May 18, 2023, Paul Saint-Pierre, a member of the Board of Directors (the “Board”) and chairman of the audit committee of the Board of AXIOS Sustainable Growth Acquisition Corporation (the “Company”), resigned from the Board, effective immediately. Mr. Saint-Pierre’s resignation is not due to any disagreement with the Company, the Company’s management, or the Board on any matter relating to the Company’s operations, policies or practices.
