Item 2.01 Completion of Acquisition or Disposition of Assets.

As previously approved by the stockholders of Axcella Health Inc. (“Axcella”) at its special meeting of its stockholders on December 4, 2023, on December 5, 2023 Axcella completed the transfer of all or substantially all of Axcella’s assets to Axcella (assignment for the benefit of creditors), LLC, a Delaware limited liability company, through an assignment for the benefit of creditors under Delaware law.
