Certain of CRBG’s controlled subsidiaries, as noted below, have the right to receive or the power to direct the receipt of dividends from, and the proceeds from the sale of, the Mandatory Redeemable Preferred Shares. American General Life Insurance Company and The Variable Annuity Life Insurance Company, each an indirect wholly owned subsidiary of CRBG, directly hold and beneficially own 10.4% and 1.3%, respectively, of the outstanding Mandatory Redeemable Preferred Shares.
