Certain of AIG’s controlled subsidiaries, as noted below, have the right to receive or the power to direct the receipt of dividends from, and the proceeds from the sale of, the Mandatory Redeemable Preferred Stock. Lexington Insurance Company, an indirect wholly owned subsidiary of AIG, directly holds and beneficially owns 180,001 shares of the Mandatory Redeemable Preferred Stock.
