Rithm Acquisition Corp. Announces the Separate Trading of its Ordinary Shares and Warrants Commencing April 21, 2025

New York – April 21, 2025 – Rithm Acquisition Corp. (NYSE: RAC.U) (the “Company”), a blank check company, today announced that, commencing April 21, 2025, holders of the units sold in the Company’s initial public offering may elect to separately trade shares of the Company’s Class A ordinary shares and warrants included in the units.

No fractional warrants will be issued upon separation of the units and only whole warrants will trade. The Class A ordinary shares and warrants that are separated will trade on the New York Stock Exchange under the symbols “RAC” and “RAC.WS,” respectively. Those units not separated will continue to trade on the New York Stock Exchange under the symbol “RAC.U.” Holders of units will need to have their brokers contact Continental Stock Transfer & Trust Company, the Company’s transfer agent, in order to separate the units into Class A ordinary shares and warrants.

Rithm Acquisition Corp. is a special purpose acquisition company (SPAC) vehicle sponsored by an affiliate of Rithm Capital Corp. (“Rithm Capital”). The Company intends to target companies in the financial services and real estate sectors where its management and Rithm Capital have extensive investment and operational experience. In addition, the Company expects to evaluate opportunities relating to digital infrastructure, including opportunities at the convergence of infrastructure and technology.
