Item 5.02. Departures of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On April 30, 2009 Etelcharge.com (the “Company”) accepted the resignation of Ms. Robyn Priest as Senior Vice President and Chief Financial Officer. Ms. Priest resigned to pursue other opportunities. The Company has launched a search for a replacement.
