Item 1.01. Entry into a Material Definitive Agreement

On October 14, 2005, registrant closed a $1.0 million financing package with institutional investors, with Longview Fund as lead investor. The terms of the financing call for $500,000 in convertible notes and $500,000 in term notes. The investors have also been issued warrants.

Item 8.01. Other Events

Effective on October 13, 2005, the Company filed a Certificate of Amendment to its Articles of Incorporation to increase their authorized shares of common stock to 500,000,00
