There are 137,914 common shares owned by the FFD Financial Corporation Employee Stock Ownership Plan (the "Plan"). Prior to February 24, 2012, First Bankers Trust Services, Inc. acted as trustee for purposes of the Plan. However, on February 24, 2012, First Bankers Trust Services, Inc. was replaced as trustee of the Plan by a committee of three directors of FFD Financial Corporation. Under the terms of the Plan and the Trust Agreement, the trustee committee may vote all of the shares allocated to the accounts of participants as directed by the participants to whose accounts such shares have been allocated. With respect to unallocated shares or allocated shares with respect to which no instructions have been received, the Plan provides that the trustee committee shall vote such shares in the trustee committee's discretion. As of February 24, 2012, all shares held by the Plan had been allocated to the accounts of participants.

Although the trustee committee has general authority to sell assets, because the Plan provides that the trustee committee is to invest primarily in shares of the issuer, the authority to dispose of such shares is limited by the Plan.

As described in Item 4, on February 24, 2012, First Bankers Trust Services, Inc. was replaced as trustee of the Plan by a committee of three directors of FFD Financial Corporation. Consequently, as of such date, First Bankers Trust ceased to have any voting or dispositive control over shares held by the Plan.
